This merger will result in the formation of a joint virtual multichannel video programming distributor (MVPD) operating under the publicly traded name of Fubo, as confirmed by both companies.

This agreement gives Disney a 70% ownership in Fubo.

According to Disney and Fubo, this merger will “enhance the variety of programming packages available while catering to diverse consumer preferences at competitive pricing.”

The merger will be overseen by Fubo CEO David Gandler along with his management team.

He referred to the merging of Fubo and Hulu Live + TV as a “benefit for consumers, our shareholders, and the entire streaming sector.”

Additionally, the agreement will establish a “new Sports & Broadcast service,” offering channels such as ABC, ESPN, ESPN2, ESPNU, SECN, ACCN, ESPNEWS, and ESPN+ through a carriage agreement between the two companies.

The vMVPD company will negotiate carriage agreements for both Hulu + Live TV and Fubo services separately from Disney, as stated by the companies.

Once the deal is finalized, consumers will still have the option to subscribe to Fubo and Hulu + Live TV as independent services, according to the announcement.

Hulu introduced Hulu + Live TV back in 2017, and Disney has bundled it with Hulu, Disney+, and ESPN+ subscriptions.

Fubo launched in 2015.

Disney and Fubo report that the combined subscriber base of Fubo and Hulu + Live TV exceeds 6.2 million across North America.

According to Disney and Fubo, the merger of Fubo and Hulu + Live TV will be “subject to regulatory approvals, Fubo shareholder approval, and the satisfaction of other customary closing conditions.”

The new vMVPD company is expected to “be well-financed and immediately cash-flow positive following the completion of the transaction,” they stated.

Following the merger announcement, Fubo shares experienced a surge on Monday.
